These terms govern your use of mode40.com and any other mode40 website that links to them (the “Site”). The Site is operated by mode40 ltd. (“mode40”, “we”, “us”), a company incorporated under the Canada Business Corporations Act with its head office in Steinbach, Manitoba. By using the Site, you agree to these terms. If you do not agree, please do not use the Site. If you use the Site on behalf of an organization, you confirm that you have authority to accept these terms for it, and “you” includes that organization.

1. The Site and the Singularity are separate

These terms cover the Site only. Use of the Singularity platform and of mode40’s professional services is governed by a separate written agreement between mode40 and the customer. If anything on the Site differs from that agreement, the agreement governs. Nothing on the Site, including pricing information, documentation, and summaries of contract terms, is an offer capable of acceptance, and no contract for products or services is formed by using the Site.

2. Product information and documentation

We publish product descriptions, documentation, comparisons, and articles to help you understand what the Singularity does and where its limits are. We work to keep them accurate and current, but:

  • features, integrations, and specifications change, and a description may not match every customer’s configuration;
  • anything we describe as planned, upcoming, or on the roadmap is a statement of current intent, not a commitment to deliver it, on any date or at all;
  • screenshots and examples are illustrative, and where they draw on real deployments, they are used with the customer’s permission and details may be altered;
  • results described for other organizations depend on their circumstances and are not a promise of the same results for yours.

Content on the Site is general information. It is not legal, regulatory, engineering, safety, or compliance advice for your operation. Whether a product or approach meets a standard or regulation that applies to you is a question to settle with your own advisers and, where relevant, in a written agreement with us.

3. Using the Site

You may browse the Site, and download or print pages for your own business evaluation of mode40 and for other non-commercial reference. You agree not to:

  • use the Site in a way that breaks the law or infringes anyone’s rights;
  • copy, republish, frame, or sell Site content, except as these terms allow or the law permits;
  • use bots, scrapers, or other automated means to collect content from the Site in bulk, including to build a dataset or to train, fine-tune, or ground a machine learning or AI model, without our written permission. Indexing by public search engines to display links to the Site is permitted. A robots.txt or similar file does not grant permission beyond what it states;
  • try to gain unauthorized access to the Site, its servers, or any system connected to it, or interfere with how it works, including by introducing malicious code, overloading it, or bypassing rate limits or bot protection;
  • submit false information, impersonate anyone, or use our forms to send spam or unsolicited offers.

4. Reporting a security issue

Do not scan, probe, or test the Site or the Singularity for vulnerabilities without our written permission. If you come across a security issue in the ordinary course of using the Site, email privacy@mode40.com with “Security” in the subject line and enough detail for us to reproduce it. Do not access, change, or keep data that is not yours, and give us a reasonable time to fix the issue before disclosing it to anyone else. We appreciate reports made in good faith and will acknowledge them.

5. Our content and trademarks

The Site and its content, including text, graphics, illustrations, screenshots, software, and the way they are selected and arranged, are owned by mode40 or its licensors and protected by copyright, trademark, and other laws of Canada and other countries. “mode40”, “the Singularity”, “Singularity for Manufacturing”, “Singularity for Aerospace & Defence”, and our logos are trademarks of mode40 ltd. Other names and logos on the Site, including those of customers and partners, belong to their owners and appear with permission or for identification only. Nothing on the Site grants you a licence to use our trademarks or anyone else’s.

If you believe content on the Site infringes your copyright or other rights, email info@mode40.com with the location of the content, the right you say is infringed, and your contact details.

6. What you send us

When you submit a form or contact us, the Privacy Policy explains how we handle the personal information you provide. Please do not send confidential or proprietary information through the Site. If we need it, we will arrange a confidentiality agreement first. Information sent through the Site is not treated as confidential unless we have agreed to that in writing.

Do not send export-controlled technical data through the Site, including information controlled under Canada’s Controlled Goods Program or Export Control List, or under the United States International Traffic in Arms Regulations or Export Administration Regulations. Work that involves controlled information is done under a written agreement, through channels agreed for it.

If you send us ideas, suggestions, or feedback about our products or the Site, you allow us to use them without restriction or payment to you. This does not give us any rights in your confidential information or in data you provide under a customer agreement.

7. Links and third-party services

The Site links to websites, and uses services, that we do not control, such as our form, analytics, and spam-protection providers, partner sites, and LinkedIn. We are not responsible for their content, availability, or practices, and a link is not an endorsement. Your use of those services is subject to their own terms.

8. Disclaimer

To the fullest extent permitted by law, the Site and its content are provided “as is” and “as available”, without warranties or conditions of any kind, whether express, implied, or statutory, including implied warranties or conditions of merchantable quality, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee that the Site will be uninterrupted, secure, or free of errors or harmful components.

9. Limitation of liability

To the fullest extent permitted by law, mode40 and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, arising from or related to your use of, or inability to use, the Site, whether the claim is in contract, tort (including negligence), or otherwise, and even if we were told such damages were possible. Our total liability for all claims arising from or related to the Site is limited to one hundred Canadian dollars (CAD $100).

This section does not limit liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded by law. It does not affect any written agreement you have with us. If you are an individual using the Site for personal rather than business purposes, some consumer protection laws may give you rights that these terms cannot limit, and nothing here takes those rights away.

10. Indemnity

If you use the Site on behalf of an organization, that organization agrees to indemnify mode40 against third-party claims, losses, and costs, including reasonable legal fees, that arise from a breach of Sections 3, 4, or 6 by that organization or its personnel. We will tell the organization promptly about any such claim and cooperate reasonably in its defence.

11. Privacy

Our Privacy Policy explains how we collect and use personal information through the Site. Please read it. It describes our practices and is not part of these terms.

12. Changes to the Site and these terms

We may change, suspend, or discontinue any part of the Site at any time. We may also update these terms by posting a new version on this page with a new “Last updated” date. The version in effect when you use the Site applies to that use, so please check this page from time to time.

13. Governing law and where disputes are heard

These terms, and any dispute arising from them or from the Site, are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there, without regard to conflict of law rules. You and mode40 agree that the courts of Manitoba have exclusive jurisdiction over any such dispute and agree to attorn to them, except that either of us may seek an injunction or other urgent relief to protect intellectual property or confidential information in any court with jurisdiction. If you are an individual and the law where you live gives you the right to bring a claim in your local courts or under your local consumer protection law, nothing in this section takes that right away.

14. General

If any part of these terms is found unenforceable, the rest remains in effect and the unenforceable part is limited to the minimum extent needed. Our failure to enforce a term is not a waiver of it. You may not transfer your rights under these terms. We may transfer ours, for example as part of a sale of our business. These terms, together with the documents they refer to, are the entire agreement between you and mode40 about your use of the Site. These terms are written in English, and you and mode40 agree that the English version governs. Les parties conviennent que les présentes conditions soient rédigées en anglais.
